Who are we?

We are UPP B.V., a private company with limited liability, having its registered office in Amsterdam, with its principal place of business at Overtoom 143, 1054 HG in Amsterdam. Our Chamber of Commerce number is 88722031. Our website is https://upp.store. In these terms and conditions we refer to ourselves as UPP.

The agreement

An agreement is established when you, the consumer, place an order on our website. 

UPP reserves the right to refuse an order or request additional information at any time before accepting the order. 

These general terms and conditions

Before placing an order, you have downloaded, read, and accepted these general terms and conditions by clicking the 'check' button.  

We may amend these terms and conditions at any time. We will notify you by e-mail. 

Offers and tenders

All offers and proposals made by UPP are non-binding and valid for the duration of the term specified therein. 

Prices and payment

The prices of our products are listed on our website and are expressed in Euros, including VAT and excluding shipping costs, unless otherwise stated.

Payment is made in advance via Ideal or credit-card.

If there is an issue with the payment before the product is delivered, we will hold the delivery until the payment is successfully processed.=

In case of payment issues after the product has been delivered, we will send a payment link via email with a payment period of 14 days.

If no payment is made within 14 days, we will be compelled to engage a collection agency. The associated costs will be borne by you. 

We reserve the right to adjust prices at any time, but such changes will only apply to new orders. 

Recall right

As a consumer, you have the right to cancel your distance purchase within the 14-day cooling-off period, provided that you have not yet opened our product. 

In the event of a correct revocation, we will cover the standard shipping costs for the return shipment, and the refund will be processed using the same means of payment you used for the initial purchase. If you opted for a more expensive delivery than the standard delivery, you will be responsible for the additional costs. 

If you did not exercise your right to the cooling-off period, the purchase of the product will be considered final. 

Compliance and Liability 

We stand behind our product, ensuring that it not only meets all legal requirements but also upholds the highest quality standards.

If you encounter any issues with our product, please notify us within 7 days of receipt, and we will promptly send you a replacement. If you fail to report any problems within this timeframe, we will assume that you have received the product in good condition.

In the event of direct damage arising from a defect in our product, our liability is limited to the amount covered by our insurance company, plus our excess. If the insurer does not provide coverage, we accept liability up to three times the price of the product.

Please note that we are not liable for any indirect damage resulting from the use of our product.

Our product has a shelf life until the date indicated on the packaging. Beyond that date, we do not guarantee the quality of the product, nor do we assume any liability if you choose to use the product after the expiry date.

Once opened, our product remains suitable for consumption for 365 days if kept dry and at room temperature. However, even after this period, we do not provide any guarantees or accept liability for the product's quality.

Please be aware that our product is intended for your use only. As such, you agree to indemnify us against any claims by third parties directly or indirectly related to our product and you will compensate us for any damages resulting from such third-party claims.

Intellectual property

The intellectual property of our product, including the packaging, our name, and our logo, remains with us.

feedback and complaints

We value your feedback, and we take it very seriously. If you have any feedback or a complaint, please report it via email to info@upp.store.

We aim to address and resolve complaints within 14 days of receipt. 

Personal data

We treat your personal data with utmost care and comply with the General Data Protection Regulation (GDPR) at all times. For more information on our policy, please refer to our Privacy Statement on our website.

Other matters

For your convenience, we have provided these general terms and conditions in both Dutch and English. In the event of any dispute regarding the content, the Dutch version shall be considered binding.

If any provision of these general terms and conditions is declared void, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

Dutch law governs all our agreements and terms and conditions.

Who are you?

You are an entrepreneur who wants to buy or resell our product. Different general terms and conditions apply to consumers. 

The agreement

An agreement is established in two ways:

when you, as a company place an order on our website; or

when you accept our quotation.

UPP may refuse an order or request additional information before accepting the order. 

These general terms and conditions

Before placing an order:

you have been able to download, read and accept these terms and conditions by checking a box; or

you have received these terms and conditions along with the quotation, read and accepted them by agreeing to the quotation.

We reserve the right to modify these terms and conditions at any time. We will notify you by e-mail. 

Your general terms and conditions do not apply to this agreement. 

right to resale

With the purchase of our product, we grant you the right to resale and use our name and logo, but solely for the promotion and sale of our product. Prior written consent is required to use of our name and logo for other purposes.

Offers and Quotations

All offers and quotations by UPP are non-binding and valid for the duration of the indicated period. 

Prices and payment

The prices of our products are listed on our website and are expressed in Euros, excluding VAT and shipping costs, unless otherwise stated.

You may sell the product for a price that never falls below our retail price. Please refer to our website for our retail price.

Payment for the order is made in advance through our website via Ideal or credit-card.

In the event of any payment issue with the website order before the product is delivered, we will only proceed with the delivery once the payment is successful.

If the agreement is based on a quotation, we will send you an invoice afterward, which must be paid within 30 days.

If any payment issue arises after the product has been delivered and after the 30-day payment term, we will send a payment link via email with a 14-day payment period.

Failure to make the payment within these 14 days will result in the engagement of a collection agency, and the costs will be borne by you.

We reserve the right to change the price and the recommended retail price at any time, but this will apply only to new orders. 

Compliance and Liability

recall

Should a consumer return a product to you because there is something wrong with the product, please report it within 7 days of receiving the recall and return the product to us, stating the consumer's complaint. At that time, you can come to a solution with the consumer yourself and we will deduct the returned product from your next invoice or refund the money to you within 30 days of receiving the returned product.  

This article applies only if the product has an issue (non-conform) and this product has not been used for purposes other than those for which it is intended and has been used within the expiry date.

If you have feedback or a complaint or receive feedback or a complaint from a consumer, please inform us. We take it very seriously, so please report it to us via the email address info@upp.store.

We aim to handle complaints within 14 days of receipt. 

Intellectual property

The intellectual property of our product, including the packaging, our name, and our logo, remains with us. If you notice any infringement on our intellectual property (product, brand, or logo), please notify us.

As part of the agreement, we grant you a worldwide, non-exclusive, non-transferable, and royalty-free license to use our name and logo for the promotion and sale of our products.

If you use our products, name, and logo without our permission for other purposes, we will hold you liable for the infringement on our rights and seek compensation for the damages.

If you fail to comply with this provision, you will be liable to us for a penalty of EUR 5,000 per violation, plus an additional penalty of EUR 250 per day that the violation persists. This penalty will take effect if the infringement is not remedied within 14 days after a written notice.

Personal data

We handle your personal data with care and comply with the General Data Protection Regulation (GDPR) at all times. For more information about our policy, please refer to our Privacy Statement on our website.

You are the data controller concerning the processing of personal data of consumers who purchase our product from you. You must also comply with the GDPR.

Other matters
